Government vetoes PL that holds partners responsible for company debts

President Jair Bolsonaro (PL) vetoed the bill that changes the system for disregarding legal personality (PLC 69/2014), which had been approved by Congress. The veto was published in the Official Gazette of the Union on Wednesday (12/14).

According to the Senate Agency, the text provided that the disregard of legal personality could be triggered when it was characterized the occurrence of unlawful maneuvers by the owners of companies to avoid paying creditors – a situation in which their private assets would be used to pay the debts. Today, although the possibility is provided for by law, there is no specific procedure for it. The project instituted a procedural procedure, ensuring the prior right to adversary proceedings in cases of personal liability of a partner for a company’s debt.
